Registered Agent Services at The Offices at Lux & Co
Your Legal Mail, Our Professional Care!
Every business registered in Virginia is required to have a Registered Agent — someone responsible for receiving important legal and tax documents on behalf of your company. At The Offices at Lux & Co, we make this process simple, reliable, and affordable.
What is a Virginia Registered Agent?
A Registered Agent is an individual or business entity designated to receive legal documents and official correspondence on behalf of a business entity. In Virginia, this requirement applies to all corporations, limited liability companies (LLCs), and limited partnerships registered to do business in the state.
Legal Requirements in Virginia
Under Virginia Code § 13.1-1015, every corporation, LLC, and limited partnership must continuously maintain a Registered Agent and a registered office within the Commonwealth. This ensures that the business remains accessible to the state and courts for the service of process, notices, or demands required or permitted by law.
The statute specifies:
"The sole duty of the registered agent is to forward to the limited liability company or foreign limited liability company at its last known address any process, notice, or demand that is served on the registered agent."
— Va. Code § 13.1-1015(B)
Who Can Serve as a Registered Agent?
Virginia law permits several entities to serve as a Registered Agent:
-
Individuals: A resident of Virginia who is a member, manager, officer, or director of the business entity, or a member of the Virginia State Bar.
-
Business Entities: A domestic or foreign corporation, LLC, or registered limited liability partnership authorized to transact business in Virginia, provided the business office is identical with the registered office.
Why Is a Registered Agent Important?
The Registered Agent serves as the official point of contact for your business, ensuring that:
-
Legal documents, such as lawsuits and subpoenas, are received promptly.
-
Official state correspondence, including tax notices and annual reports, is delivered in a timely manner.
-
The business maintains good standing with the Virginia State Corporation Commission.
